DESERT AREA
TOURNAMENT ASSOCIATION

(D.A.T.A.)

 

ARTICLE I

Name and Location

 

����������� This
Association shall be know as the Desert Area Tournament Association.Its Headquarters shall be located at the
address designated annually by its Chairman.

 

ARTICLE II

Purposes For Which Organized

 

����������� To promote
water skiing within the Southern California area by coordinating, organizing
and/or sponsoring water skiing events:
by encouraging beginning skiers through events applicable to their
interests and abilities:and by
promoting better conditions and safety in water skiing:as an incident to the main purposes of this
association, to buy, sell, hold, hypothecate, mortgage, lease, or rent or
otherwise deal with personal or real property.

 

ARTICLE III

Membership

 

����������� Section
1:Membership classes and
qualification.There shall be one class
of membership.Regular.All members shall be water ski clubs
affiliated with the American Water Ski Association.All individual members of each member club
shall enjoy the privileges pertaining to the class of DATA membership of their
parent club.

a)      Regular
Member Clubs.Clubs which desire
to:harmoniously agree upon tournament
schedules; participate in interclub tournaments, judges, driving and skiing
clinics;organize large tournaments i.e.
Regionals, Nationals, or Cash Prize by drawing from an established large
group;as well as having a stronger
voice in American Water Ski Association matters.

 

Section 2:The Charter member clubs are Canyon Lake Ski
Club, Great Lakes Ski Club, Golden West Tournament Water Ski Club, Horton Lakes
Ski Club, Sundown Lakes Ski Club, Wet Set Inc. Ski Club, and Wet Set Village
Ski Club.

 

����������� Section
3:Additional Regular member clubs may
join the Association by a unanimous vote of the Executive Committee at the
conclusion of a one (1) year probationary period during which time they may
have no Executive vote.

4:Any Regular member club may resign
from the Association by submitting a written notice at the Annual Meeting to be
effective the following January 1st.
Resignation shall not relieve the resigning member club from obligations
incurred prior to resignation.

5:Regular membership may be terminated
by the unanimous vote of the remaining voting members of the Executive
Committee for good cause.

 

ARTICLE IV

Executive Committee,
its Duties and Authority

 

����������� Section
1:The Executive Committee shall consist
of one representative from each Regular member club.The Regular member club shall also have an
attending alternate.The duties of the
Executive Committee are to carry out the purposes of this organization
including, but not limited to:
coordinating American Water Ski Association sanctioned and interclub
tournament schedules; and any other tournaments the committee decides on;acting as the governing body for any
subcommittee formed within this Association;
hearing reports and ratifying decisions of these committees;establishing judges clinics;encouraging water skiers to join the American
Water Ski Association;encouraging AWSA
members to become judges;working on
possible AWSA rules changes;and to do
anything else appropriate to the welfare of this Association and its Regular
member clubs.All duties not
specifically designated to an officer in these Bylaws shall be the responsibility
of the Executive Committee.The
Executive Committee shall not have the authority to encumber the Association
beyond its resources without the specific approval of all Regular member clubs.

 

����������� Section
2:Chairman.The chairman shall be a member of a Regular
member club.The Chairman shall preside
at all regular and special meetings, sign orders, checks, and documents
authorized by the Association; call regular and special meetings, appoint all
committees not otherwise provide for with the approval of the Executive
Committee;and perform other duties
which may pertain to his office.�� It
shall be his duty to appoint a Secretary and Treasurer, from the Regular member
clubs, to the Association subject to the approval of the Executive Committee.The Chairman shall vote only to break ties.

 

����������� Section
3:Representatives.The Representatives from the Regular member
clubs may be elected or appointed, at each club�s discretion, by the November
meeting. The clubs may replace or recall their representative at any time.The Representatives shall act as liaison
between their clubs and the association, reporting to the Association and to
their clubs, the business that has transpired as regards to this Association; assist
with events sponsored by the Association and perform such other duties as may
of right pertain to their position.Each
Representative has but one vote.

 

����������� Section
4:Alternates.The Regular member clubs shall appoint or
elect one Alternate to attend the Association meeting.The Alternates shall have one vote.

 

ARTICLE V

Subcommittees

 

Section 1:Interclub Tournament Committee.There shall be one committee member for each
Regular club.It will be this
committee�s purpose to encourage beginning skiers clinics, tournaments, and by
any other means deemed advisable.

 

Section 2:Members of the subcommittees described in
Section 1 shall be appointed or elected by the individual Regular member clubs
with each club having two votes through their representative and alternate.The Executive Committee may delegate its
authority to the subcommittee as it desires.
Any action taken by a subcommittee not within the authority specifically
delegated to it must be ratified by the Executive Committee.The Chairman of each subcommittee shall be
elected by the Executive Committee and he need not be chosen from among the
members appointed to the committee, but must be a member of a Regular member
club.

 

Section 3:Additional committees may be established by
the Executive Committee as deemed necessary.

 

ARTICLE
VI

Executive
Committee Meetings

 

Section 1:The Representatives from each Regular member
club shall be notified at least five (5) day in advance of Association
meetings.The Executive Committee shall
generally meet twice per year and must meet in November, which shall be the
Annual Meeting.Special meetings may be
called by the Chairman as deemed necessary.

 

Section 2:A quorum shall consist of a majority of the
voting members.All actions shall be
approved by a majority vote.

 

ARTICLE
VII

Subcommittee
Meetings

 

Section 1:
Subcommittee meetings shall be called by the Chairman of the
subcommittee or by request of the Executive Committee.

 

Section 2:A
quorum shall consist of a majority of the voting committee members.All actions shall be approved b a majority
vote.

 

ARTICLE VIII

Rules of
Order

 

Section 1:
The proceedings at meetings of this Association shall be governed by
�Roberts Rules of Order, Revised�, insofar as its provisions are applicable and
do nbot conflict with the Bylaws of the Association.

 

ARTICLE IX

Nomination and
Election of Chairman

 

Section 1:The nominating committee shall be appointed
by the Chairman in October.The
committee shall nominate a candidate so as to perpetuate an alphabetical
rotation of the Regular member clubs.

 

Section 2:The election shall take place at the December
meeting.Elections can be if so desired
by a show of hands, and a majority of all votes cast shall be necessary to elect.

 

Section 3:The Chairman (President) shall hold office
for the term of one (1) year, beginning January 1st, or until his
successor shall have been elected and qualified.

 

ARTICLE
X

Duties
of Secretary and Treasurer

 

Section 1:
The Secretary shall keep the minutes of the meetings of the Executive
Committee and shall send a copy of the minutes to the Representatives and
Alternates prior to the succeeding meeting.
He/she shall give and serve all notices of the Association and shall be
custodian of the records.He/she shall
present the minutes at the following meeting and shall perform all the duties
incident to the office of Secretary.The
Secretary need not be a member of the Executive Committee and shall not have a
vote by virtue of his/her office.The
Secretary shall be a member of a Regular member club.

 

Section 2:The Treasurer shall have the care and custody
of, and be responsible for all the funds and securities of the Association, and
deposit all such funds in the name of the Association in such bank or banks,
trust company or trust companies, or safe deposit boxes as the Executive
committee designates.He/she shall
cosign with the Chairman/President, make and endorse in the name of the
Association all checks, drafts, warrants, and orders for the payment of money.He/she shall render a statement of the
condition of the finances at meetings and at such other times as shall be
required of him/her.He/she shall keep
correct books of account of all its business transactions and other records as
the committee may require.He/she shall
do and perform all duties pertaining to the office of Treasurer.The Treasurer need not be a member of the
Executive Committee and shall not have a vote by virtue of his/her office.The Treasurer shall be a member of a Regular
member club.

 

ARTICLE
XI

Vacancies
in Office

 

Section 1:Vacancies
in office or on the Executive or Subcommittees shall be filled in the same
manner in which they were originally selected.
A vacancy shall be declared by the Executive Committee.

 

ARTICLE
XII

Monies

 

Section 1:
All money received shall be deposited in the general fund of the
Association.

 

Section 2:The Treasurer may not disburse funds without
specific authorization of the Executive Committee.

 

Section 3:
Any Regular member club resigning or being terminated from the
Association shall forfeit its rights to any monies or other assets belonging to
the Association, unless otherwise specified in advance.

 

ARTICLE
XIII

Amendments

 

Section 1:
These Bylaws may be amended by a two-thirds (2/3) vote of the Executive
Committee with the subsequent approval of two-thirds (2/3) vote of the Regular
member clubs.

 

ARTICLE
XIV

Dissolution

 

Section 1:Dissolution may be accomplished by a
seventy-five (75) percent vote of the Regular member clubs.In the event of the dissolution of this
Association, any funds remaining in the treasury and any property in which it
may own after discharging all debts and liabilities, shall be equally divided
among the Regular member clubs.
